Antitrust Policy draft v0.1

Status: draft — under counsel review (A7). The presence and text of this policy follow the standard SDO policy inventory; substance changes land only through counsel review.

Purpose. The Agent Authority Standards Institute (AASI) exists to develop open, verifiable standards for governed agent authority. Standards development brings together parties who may compete with one another. This policy ensures all participation complies with applicable antitrust and competition laws.

Open participation. Participation in AASI standards development is open on equal, non-discriminatory terms. Admission and standing are judged by conduct — the quality and honesty of contributions — never by commercial size or affiliation.

Recorded, written process. All AASI standards development occurs through written, recorded, publicly reviewable artifacts — numbered proposals, versioned specification text, and sealed revision records. There are no off-record technical meetings; where synchronous discussion occurs, its outcomes are valid only once landed in the recorded proposal process. (This is a stricter posture than the customary “prepared agendas and minutes” — the record is the process.)

Prohibited exchanges. Participants must not use AASI activities to discuss or exchange: prices, pricing strategies, or licensing fee levels; costs, margins, or terms of sale; production or output plans; allocation of markets, territories, or customers; refusals to deal or boycotts of any party; or any competitively sensitive non-public information. If such discussion begins, participants must object, decline, and disengage; the objection may be recorded.

Standards and exclusion. AASI specifications set forth requirements openly, and conformance is available to any implementer on the specification's published terms (Community Specification License 1.0). AASI activities must never be used to disadvantage particular competitors, technologies, or implementations beyond the objective technical merits recorded in the proposal process.

Each participant's responsibility. Each participant is responsible for its own antitrust compliance and should consult its own counsel. AASI does not provide legal advice.
